Terms and Conditions

Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Dr. Chanan N. Frith, CPA, operating as FrithFutureFocus Leadership Training Academy ("Coach," "Consultant," "we," "us," or "our") regarding your use of our corporate consulting, leadership training, executive coaching, and mentoring services.


By engaging our services, attending our training programs, scheduling a consultation, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Notice.


If you are entering into this agreement on behalf of a corporation or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Services Provided

Nature of Services

Dr. Chanan N. Frith is a dedicated corporate consultant with a diverse background in finance, operations, corporate administration, and leadership development across retail, banking, accounting, auditing, and aviation sectors. Through FrithFutureFocus Leadership Training Academy, we provide transformational leadership training, executive coaching, corporate consulting, and mentoring services to individuals and organizations worldwide.


Our approach integrates over a decade of executive experience with the Kingdom Influence Method™ and faith-based principles, guiding participants to lead with integrity, clarity, and spiritual authority.

Services may include, but are not limited to:


• Corporate Consulting: Revitalizing struggling organizations to become profitable and efficient, enhancing earnings, refining budgeting, streamlining operations, and improving human resources management

• Leadership Training Programs: Immersive workshops, real-world case studies, and reflective discussions designed to develop values-driven leaders

• Executive Coaching: One-on-one coaching sessions for leadership development, performance enhancement, and career advancement

• Strategic Planning: Project management, safety systems, procurement, and disaster planning and recovery services

• Female Leadership Development: Mentoring programs specifically designed to help women overcome corporate challenges and unlock their potential

• Non-Profit Support: Specialized consulting to help non-profit organizations achieve financial and operational success for greater community impact

• Speaking Engagements: Keynote presentations, conference workshops, and motivational speaking on leadership and organizational excellence


Service Delivery

Training programs and coaching sessions may be conducted in person at our location in The Bahamas, at your organization's facilities, virtually via video conference, or by telephone, as mutually agreed. The specific format, frequency, and duration of services will be outlined in your individual service agreement or program enrollment confirmation.


We reserve the right to modify service delivery methods due to unforeseen circumstances, health and safety concerns, or technological limitations, with reasonable notice to the Client.


Faith-Based Approach

Our services integrate faith-based principles and the Kingdom Influence Method™ as part of our transformational approach to leadership and organizational development. By engaging our services, you acknowledge and accept this faith-integrated methodology.


We respect diverse beliefs and perspectives while maintaining the integrity of our Kingdom-centered approach to leadership development.


What Our Services Are Not


Our consulting and coaching services are not:

• Therapy, psychological counseling, or mental health treatment

• Legal advice or representation

• Accounting or audit services (although we may provide consulting on financial systems and processes)

• A guarantee of specific financial outcomes, promotions, or organizational results

• A substitute for professional consultation in specialized areas outside our expertise

If you require services outside our scope, we may refer you to appropriate professionals.


Client Responsibilities

As a Client, you agree to:


• Participate actively and honestly in the training, coaching, or consulting process

• Complete any agreed-upon assignments or action items between sessions

• Communicate openly about your organizational challenges, goals, and progress

• Arrive on time for scheduled sessions and training programs, prepared to engage fully

• Provide timely feedback regarding our services

• Notify us promptly of any changes to your contact information or organizational structure

• Maintain the confidentiality of proprietary training materials, methodologies, and the Kingdom Influence Method™

• Respect other participants in group training settings and maintain professional conduct at all times

Fees and Payment Terms

Service Fees

Service fees are determined based on the scope of services, program duration, session frequency, whether services are provided to individuals or organizations, and the complexity of the consulting engagement. All fees will be clearly communicated in your service proposal, training enrollment confirmation, or consulting agreement before services commence.


Fees are quoted in United States Dollars (USD) unless otherwise specified.


Payment Schedule

Payment terms will be specified in your individual agreement and may include:

• Full payment upon enrollment for training programs and workshops

• Payment in advance for individual coaching sessions or session packages

• Monthly invoicing for ongoing consulting or coaching engagements

• Project-based payments with milestones for corporate consulting projects

• Deposit requirements for longer-term commitments or multi-day training programs


Payment is due within 14 days of invoice date unless otherwise agreed in writing. Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.


Payment Methods

We accept payment via bank transfer, credit card, or other methods as mutually agreed. All payment processing fees are the responsibility of the Client unless otherwise specified.


Refund and Cancellation Policy

Training Programs: Registration fees for training programs and workshops are non-refundable once the program has commenced. If you cancel your enrollment at least 14 days before the program start date, you may receive a full refund minus a 10% administrative fee. Cancellations made 7-13 days before the program start date will receive a 50% refund. No refunds will be issued for cancellations made less than 7 days before the program start date.


Coaching Services: Payments for completed coaching sessions are non-refundable. For prepaid session packages, refunds may be considered on a case-by-case basis for unused sessions, minus a 20% administrative fee, provided written notice is given at least 30 days before the next scheduled session.


Consulting Projects: Refund terms for consulting projects will be specified in the individual consulting agreement and typically relate to project milestones and deliverables.


Corporate and organizational clients should refer to their specific service agreement for detailed refund terms.


Fee Adjustments

We reserve the right to adjust our fees annually or upon renewal of service agreements. Existing clients will receive 60 days advance notice of any fee increases.

Scheduling, Cancellation, and Rescheduling

Scheduling

Coaching sessions and consulting meetings are scheduled by mutual agreement. Training programs have fixed dates published in advance. You will receive a calendar invitation or confirmation email for scheduled sessions. It is your responsibility to confirm receipt and ensure sessions are added to your calendar.


We will make reasonable efforts to accommodate your preferred scheduling times, but cannot guarantee availability at all times.


Cancellation Policy for Individual Sessions

If you need to cancel a scheduled coaching or consulting session, you must provide at least 48 hours advance notice. Cancellations made with less than 48 hours notice will be charged the full session fee.


No-shows (failure to attend a scheduled session without prior notice) will be charged the full session fee and the session will be considered completed.


Rescheduling

Sessions cancelled with at least 48 hours notice may be rescheduled at no additional charge, subject to availability. We will make reasonable efforts to accommodate rescheduling requests.


Repeated cancellations or rescheduling may result in termination of the service relationship or adjustment of the service agreement.


Provider-Initiated Cancellations

In the event we need to cancel or reschedule a session or training program due to illness, emergency, or other unforeseen circumstances, we will provide as much advance notice as possible. No fees will be charged for provider-initiated cancellations, and services will be rescheduled at no additional cost or refunds will be issued as appropriate.


Technical Issues

For virtual sessions, technical difficulties that prevent the session from occurring will not be charged if the issue is beyond your reasonable control. You are responsible for ensuring you have a stable internet connection and functional technology for virtual sessions.

Confidentiality

Our Commitment

We maintain strict confidentiality regarding all information shared during coaching sessions, consulting engagements, and training programs, subject to the exceptions outlined below. Information disclosed will not be shared with third parties without your express written consent.


Session notes, organizational assessments, and records are maintained securely and are accessible only to authorized personnel involved in providing services to you.


Exceptions to Confidentiality

Confidentiality may be breached in the following circumstances:


• When required by law or court order

• When there is a reasonable belief of imminent danger to you or others

• When disclosure is necessary to prevent a serious crime or fraud

• When you provide explicit written authorization

• When providing de-identified information for professional development, research, or quality improvement purposes


Corporate and Organizational Engagements

When services are provided as part of a corporate or organizational engagement, the scope of confidentiality and reporting requirements will be clearly defined in the service agreement. Generally, progress summaries and organizational assessments may be shared with designated company representatives, but specific coaching session content remains confidential unless you authorize otherwise.

We will always clarify the parameters of confidentiality at the outset of any organizational engagement.


Client's Responsibility

You are responsible for maintaining the confidentiality of any proprietary training materials, tools, assessments, methodologies, and specifically the Kingdom Influence Method™ provided during the engagement. You agree not to reproduce, distribute, or share such materials without our express written permission.

Intellectual Property

Our Intellectual Property

All training frameworks, methodologies, assessments, tools, materials, content, and specifically the Kingdom Influence Method™ provided by Dr. Chanan N. Frith and FrithFutureFocus Leadership Training Academy remain our exclusive intellectual property. You are granted a limited, non-transferable license to use such materials solely for your personal professional development or internal organizational use during the service engagement.


You may not modify, reproduce, distribute, sell, or create derivative works from our proprietary materials, including the Kingdom Influence Method™, without express written permission.


Client's Intellectual Property

You retain all rights to your own organizational strategies, business plans, and work products developed during the consulting or coaching process. We claim no ownership over your intellectual property or business innovations.


Testimonials and Case Studies

We may request permission to use your testimonial or create anonymized case studies based on our work together. We will never publish testimonials or case studies without your explicit written consent, and you may withdraw consent at any time for future use.

Limitation of Liability

To the fullest extent permitted by applicable law, Dr. Chanan N. Frith and FrithFutureFocus Leadership Training Academy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:


• Your use of or inability to use our services

• Any business decisions or actions you take based on consulting advice or coaching discussions

• Unauthorized access to or alteration of your information

• Any other matter relating to the services


Our total liability to you for all claims arising from or related to these Terms or the services shall not exceed the total amount paid by you for services during the six months immediately preceding the event giving rise to the claim.


Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

Disclaimers

No Guaranteed Outcomes: While we are committed to providing high-quality professional consulting, training, and coaching services, we make no guarantees or warranties regarding specific financial outcomes, organizational results, promotions, or business success. Your results depend on numerous factors including your own effort, commitment, organizational circumstances, market conditions, and external variables beyond our control.


Professional Judgment: All consulting advice, training content, and coaching guidance are based on our professional judgment and experience. You are solely responsible for your own business decisions and actions. We strongly encourage you to consult with appropriate legal, accounting, or other professional advisors before making significant business decisions.


Faith-Based Nature: Our services incorporate faith-based principles and the Kingdom Influence Method™. While we respect diverse perspectives, the integration of these principles is fundamental to our approach and methodology.


Service Availability: Services are provided on an "as is" and "as available" basis. We do not warrant that services will be uninterrupted, timely, secure, or error-free.


Third-Party Tools: We may recommend or utilize third-party assessments, tools, or resources. We are not responsible for the accuracy, reliability, or performance of any third-party products or services.

Termination

Termination by Client

You may terminate the service relationship at any time by providing 14 days written notice. Upon termination, you are responsible for payment of all fees for services rendered through the termination date, plus any outstanding invoices.


If you have prepaid for a package or program, the refund policy outlined in Section 4.4 will apply.


Termination by Provider

We reserve the right to terminate the service relationship immediately if:


• Payment obligations are not met despite reasonable notice and opportunity to cure

• You engage in abusive, threatening, disrespectful, or inappropriate behavior

• There is a conflict of interest or ethical concern that cannot be resolved

• You repeatedly miss scheduled sessions without proper notice

• We determine that our services are not appropriate for your needs or that you would be better served by another professional

In the event of termination by us, we will provide appropriate referrals when possible and will refund any prepaid fees for services not yet rendered.


Effect of Termination

Upon termination, all obligations requiring performance after termination shall survive, including confidentiality obligations, payment obligations for services rendered, and intellectual property restrictions.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of The Commonwealth of The Bahamas, without regard to its conflict of law provisions.


Any disputes arising from or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the courts of The Bahamas.


For international clients, where the laws of your jurisdiction require that disputes be resolved in your local courts, we will cooperate in good faith to resolve disputes in accordance with applicable law.

Dispute Resolution

In the event of any dispute or disagreement arising from these Terms or the service relationship, both parties agree to first attempt to resolve the matter through good-faith negotiation.


If the dispute cannot be resolved through negotiation within 30 days, the parties agree to attempt mediation before a mutually agreed-upon mediator before pursuing litigation or arbitration.


Each party shall bear its own costs for negotiation and mediation, with mediator fees split equally unless otherwise agreed.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before the changes take effect.


Your continued use of our services after the effective date of any modifications constitutes your acceptance of the revised Terms.


If you do not agree to the modified Terms, you may terminate the service relationship in accordance with Section 10.1.

General Provisions

Entire Agreement: These Terms, together with any individual service agreement, training enrollment, or consulting proposal, constitute the entire agreement between you and Dr. Chanan N. Frith regarding the services and supersede all prior understandings or agreements.


Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.


Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.


Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any successor or affiliate without restriction.


Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or public health emergencies.


Notices: All notices required under these Terms shall be in writing and sent to the email addresses on file. Notices are deemed received when delivered via email with confirmation of receipt.


Relationship: The service relationship is one of independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between you and Dr. Chanan N. Frith or FrithFutureFocus Leadership Training Academy.
